These Terms and Conditions ("Terms") govern your use of TellMabel, an SMS service operated by Soft Sync Solutions LLC ("we", "us"). By creating an account or using the service you agree to these Terms.
The service
TellMabel is a paid text-message assistant: you send notes, questions, and reminders by SMS, and it stores them, answers questions about them, and sends reminders you schedule. AI-generated replies may be inaccurate or incomplete and must not be relied on for emergencies or for medical, legal, financial, or other professional advice. Text messaging is a carrier-regulated channel: content that carrier rules prohibit (for example sexual, hateful, or otherwise restricted material) may be declined, or a reminder about it may be delivered in generalized wording rather than your original phrasing.
Reminder calls and calling hours
If you consent to reminder calls, TellMabel may place automated reminder phone calls, using a prerecorded or synthetic (AI-generated) voice, to the number you provided, for reminders you ask us to call about. We place these calls only between 8:00 a.m. and 9:00 p.m. in the time zone on your account, which we infer from your phone number and ask you to confirm; you can correct it at any time by text or in your account. If a reminder you schedule falls outside those hours, we send it to you as a text message instead of calling. Reminder calls are in addition to the reminder text, not a replacement for it, and if a call cannot reach you we may let you know by text. A reminder call speaks your reminder aloud to whoever answers the phone, or to voicemail if the call is not answered. You can opt out of calls at any time by pressing 2 during a call, replying STOP to a text, or turning reminder calls off in your account. Call and message rates may apply.
Reminders are a convenience, not a guarantee
TellMabel relies on third parties — including mobile carriers, our messaging and telephony providers, and your own device, phone number, and network — to deliver texts and place calls. We do not guarantee that any reminder, message, or call will be delivered, delivered on time, or delivered at all, and messages or calls may be delayed, misdirected, duplicated, or lost for reasons outside our control. TellMabel is a convenience to help you remember things; it is not a failsafe, guaranteed, or emergency notification service. Do not rely on it as your only means of remembering anything important, time-sensitive, or health-, safety-, legal-, or financial-critical. You remain solely responsible for your own obligations, appointments, and deadlines.
Health, medication, and emergencies
TellMabel is not a medical device, not a medical service, and not a substitute for professional medical care. People use reminders for things like medication and appointments, and the service is happy to help with that — but it is a consumer convenience, not a clinical tool. It is not designed, tested, or certified for clinical use, for medication adherence where a missed or late dose could cause harm, or for any situation where a delayed, missing, duplicated, or incorrect reminder could affect anyone's health or safety. Do not use TellMabel as your only safeguard for medication, treatment, or medical appointments. Decisions about medication and treatment are between you and your healthcare provider, and nothing TellMabel sends is medical advice.
TellMabel cannot be used to summon help in an emergency. It does not monitor you, cannot detect that anything is wrong, and no one reads your messages in real time. In an emergency, call 911 or your local emergency number.
We are not a HIPAA covered entity or business associate, and what you send us is not protected health information in our hands. Do not use TellMabel to deliver care to patients or on behalf of a healthcare provider, and do not use it as a system of record for anyone's care.
Your phone, and other people
Reminders go to the phone number on your account, and a reminder call speaks the reminder aloud to whoever answers, or to voicemail if no one does. You are responsible for your phone, your number, and your account, and for who can see your texts or hear your calls. Do not put anything in a reminder that you would not want read aloud to, or seen by, someone else with access to your phone.
If you ask us to remind you about another person — their medication, their appointments, their care — you confirm you have the authority to do so, you remain responsible for that person's care, and you accept these Terms on your own behalf. TellMabel has no relationship with that person and owes them no duty.
Eligibility
You must be at least 18 years old and able to form a binding contract to use TellMabel.
Free trial
New accounts may start with a free trial: full use of TellMabel for a limited period, with no payment method required and no charge at any point during or after it. The length of the trial is shown when you sign up and is currently 7 days, and it begins when you complete signup and receive your first message from TellMabel. Because we never collect a payment method for the trial, it does not convert into a paid subscription and you will never be charged automatically when it ends — if you want to continue, you choose a plan yourself.
When your trial ends: one-time reminders you have already set continue to be delivered. Repeating reminders continue for 3 further days and are then paused, not deleted; they resume automatically if you subscribe. Creating new reminders, and rescheduling or snoozing existing ones, requires a paid subscription. The free trial is a way to try TellMabel and is provided at our discretion: we may change its length, limits and features, or modify, suspend, or discontinue it, at any time.
Subscription and billing
TellMabel's paid service is a recurring subscription processed by Stripe. When you subscribe, your payment method is charged immediately for the plan and price shown at checkout, and your subscription then renews automatically each billing period until you cancel. If we change the price of your plan, we will give you advance notice, and the new price takes effect at your next renewal after that notice.
You can cancel at any time from your account, from the billing portal, or by texting "cancel my subscription" to TellMabel. Cancellation stops future renewals: your service continues to the end of the current billing period and you are not charged again. Note that replying STOP to opt out of text messages also sets your subscription to cancel at the end of the current billing period, because the service cannot operate without texting you.
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods. If something has gone wrong, contact us at support@tellmabel.com and we'll try to make it right.
Acceptable use
You agree not to use TellMabel for any unlawful, harmful, abusive, or fraudulent purpose, to send content you don't have the right to send, or to disrupt or misuse the service.
Fair use
TellMabel is a personal service for one person and the phone number on the account. Your plan covers your everyday use of it — text her as much as you actually need to.
To keep the service healthy and to stop abuse, we apply reasonable usage limits, for example on how many messages you can send in a day, how many reminders you can have scheduled at once, and how many reminder calls can be placed in a day. These limits are set far above ordinary personal use and are not something normal use will run into. We may adjust them over time, and we may contact you about, limit, or suspend an account whose usage is extreme, automated, shared across multiple people, or abusive.
Your content and our service
You own the notes, reminders, and messages you send to TellMabel. So that we can operate the service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display that content — including sharing it with the service providers described in our Privacy Policy — solely to provide, secure, support, and improve the service. You are responsible for what you send and confirm you have the rights needed to send it. The service itself — the software, site, design, and the TellMabel name and personality — belongs to Soft Sync Solutions LLC and its licensors; these Terms give you a personal, non-transferable, revocable right to use the service while your account is in good standing, and no other rights.
Suspension and termination
You can stop using TellMabel at any time by cancelling as described above. We may suspend or terminate your account, or decline to provide the service, if we reasonably believe you have violated these Terms, your use creates risk or legal exposure for us or for others, a carrier or one of our providers requires it, or your account has been inactive on the free tier for an extended period. Where practical we will tell you by text or email. If we terminate a paid account without cause, we will refund the unused portion of the period you have already paid for, and that refund is your sole remedy for the termination. We may also change, suspend, or discontinue the service or any feature of it over time; if we discontinue the service entirely, we will notify you and refund any unused portion of a period you have already paid for.
Disclaimers and liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any reminder, message, or call will be delivered, delivered on time, or delivered accurately.
To the maximum extent permitted by law, Soft Sync Solutions LLC and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, missed deadlines, penalties, or other losses, arising out of or relating to any reminder, message, or call that is delayed, misdirected, duplicated, undelivered, inaccurate, or not delivered, or to your reliance on AI-generated content, even if we have been advised of the possibility of such damages. TellMabel is a convenience, is priced as one, and is not priced to carry the risk of the underlying obligations you use it to remember.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service will not exceed the greater of (a) the total amount you paid us for the service in the twelve (12) months before the event giving rise to the claim, or (b) fifty U.S. dollars (US$50).
Some jurisdictions do not allow certain warranty or liability limitations, so some of the above may not apply to you; nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or personal injury where such limitation is prohibited.
Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Soft Sync Solutions LLC and its officers, members, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use or misuse of the service, the content you send to or store with TellMabel, your violation of these Terms, or your violation of any law or the rights of any third party.
Time limit on claims
To the maximum extent permitted by law, any claim arising out of or relating to TellMabel or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred. Some jurisdictions do not allow this limitation, in which case it does not apply to you.
Events outside our control
We are not liable for any failure or delay caused by anything outside our reasonable control, including carrier or network outages, message filtering or blocking by a carrier, failures or changes at our messaging, telephony, AI, hosting, or payment providers, device or software failures, loss or reassignment of your phone number, government or regulatory action, natural events, or interruptions to power or internet service.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. Subject to the "Dispute resolution" section below, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
Dispute resolution; arbitration; class-action waiver
Please read this section carefully — it affects your legal rights.
Informal resolution first. If you have a dispute with us, you agree to first contact us at support@tellmabel.com and give us at least 30 days to resolve it informally before starting an arbitration or court proceeding.
Binding arbitration. If we cannot resolve the dispute informally, you and Soft Sync Solutions LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration, rather than in court, except as set out below. This agreement to arbitrate is governed by the Federal Arbitration Act. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and judgment on the award may be entered in any court having jurisdiction.
Class-action and jury-trial waiver. You and Soft Sync Solutions LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding. You and Soft Sync Solutions LLC each waive any right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
Small-claims and exceptions. Either party may instead bring an individual claim in small-claims court if it qualifies. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized use of the service.
Coordinated filings. If 25 or more demands for arbitration raising similar claims against us are filed by or with the assistance of the same or coordinated counsel or organizations, you and Soft Sync Solutions LLC agree that they will be administered under the AAA's Mass Arbitration Supplementary Rules then in effect, including their procedures for batching or staging demands and their fee schedules. This paragraph is intended to make resolving many similar claims efficient and does not limit anyone's substantive rights.
Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@tellmabel.com with your name, the phone number associated with your account, and a clear statement that you want to opt out of arbitration. Opting out will not affect any other part of these Terms.
General
These Terms, together with our Privacy Policy and SMS Terms, are the entire agreement between you and Soft Sync Solutions LLC about the service. If any provision is held unenforceable, it is limited or severed to the minimum extent necessary and the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms create no third-party beneficiaries. The sections that by their nature should survive — including disclaimers, limitation of liability, indemnification, time limit on claims, and dispute resolution — survive the end of your account.
Changes
We may update these Terms, and the "Last updated" date above reflects the current version. If we make a change that materially reduces your rights or increases your obligations, we will give you reasonable advance notice — by text, by email, or in the service — before it takes effect, and that change will apply going forward only, not to anything that happened before it took effect. Continuing to use TellMabel after a change takes effect means you accept the updated Terms. If you don't accept a change, you can cancel at any time as described above.
